2月24日消息，比特币矿机制造商 Canaan 宣布斥资约3975万美元，收购 Cipher Mining 在美国德克萨斯州三处比特币矿场项目中的49%股份，进一步扩大其在北美比特币挖矿基础设施与能源资产领域的战略版图。此次交易涵盖 Alborz LLC、Bear LLC 与 Chief Mountain LLC（统称ABC项目），交易完成后，可再生能源基础设施公司 WindHQ 仍持有51%控股权。
披露显示，这三座矿场已全部投入运营，总装机容量达120兆瓦，对应算力约4.4 EH/s，电力成本低于0.03美元/千瓦时，并配备风力发电资源及ERCOT电网需求响应能力，有助于降低比特币挖矿成本并提升算力稳定性。与此同时，Canaan 还从 Cipher 购入6,840台 Avalon A15Pro 矿机，该批设备原部署于 Black Pearl 矿场，而该站点正在转型为人工智能与高性能计算（AI-HPC）数据中心。
本次收购通过股权融资完成，公司发行约806,439,900股A类股票，对应53,762,660份ADS，定价0.7394美元，并设六个月锁定期，体现其以资本市场支持算力扩张与矿场并购的策略路径。
业绩方面，Canaan 2025年第四季度营收同比增长121.1%至1.963亿美元，矿业收入同比增长98.5%至3040万美元，比特币储备提升至1750枚，算力出货量达到14.6 EH/s，装机算力升至9.91 EH/s，主要受美国机构订单推动。
在行业环境变化下，比特币矿企正加速探索AI算力与云计算业务转型。MARA Holdings 近期收购 Exaion 64%股份切入AI基础设施赛道，而 Hive、Hut 8、TeraWulf、Iren 等企业也在将矿场电力资源升级为数据中心运营。Canaan此次加码美国低电价矿场与现有算力资产，被视为同时强化比特币挖矿效率与布局AI算力基础设施的重要战略举措。
