Odaily星球日报讯 比特币财库公司 Strategy 宣布，根据美国联邦所得税相关规模，2025 年其优先股的全部股息分派款项将被视为在股东对应税基范围内的免税资本返还（ROC），相关信息已通过 Form 8937 披露，分派款项将被视为资本返还并相应减少股东在相关优先股工具中的税基，若分派金额超过税基部分，则按资本利得处理。Strategy 补充表示，2025 年已通过 5 次永续优先股募资约 55 亿美元，随后又通过 ATM 计划追加募资约 19 亿美元，累计募资规模约 74 亿美元，截至目前公司已累计支付约 4.13 亿美元股息分派，对应加权年化股息率约 9.6%。
Strategy 预计目前不存在美国税法意义上的累计盈余（E&P），因此预计未来较长周期（可能 10 年以上）优先股分派仍可能维持 ROC 税务处理方式，但最终税务结果仍可能随公司财务状况变化而调整，同时提醒不同投资者可能存在差异化税务情形。（Businesswire）
